MUTUAL NON-DISCLOSURE AGREEMENT (NDA)

Insight with Kate / The Energetic Advantage™ (“Party A”)

and

[Client or Company Name] (“Party B”)

1. Purpose

The Parties wish to engage in exploratory conversations, consultations, or sessions related to The Energetic Advantage™, including but not limited to business strategy, energy work, leadership recalibration, and related intellectual property (“Purpose”). In connection with this Purpose, both Parties may disclose confidential and proprietary information.

2. Definition of Confidential Information

“Confidential Information” means any and all data, materials, ideas, business plans, processes, session recordings, frameworks, client methodologies, personal or energetic insights, trade secrets, or other information disclosed—whether oral, written, visual, digital, or energetic—that is not publicly available.

3. Obligations of the Parties

Both Parties agree to: (a) Maintain confidentiality of all disclosed information; (b) Use Confidential Information solely for the Purpose described above; (c) Not disclose, reproduce, or share any Confidential Information with third parties without written consent; and (d) Exercise at least the same degree of care as used for their own confidential information.

4. Exclusions

Confidential Information does not include information that: (a) Is or becomes public through no fault of the receiving Party; (b) Was lawfully known prior to disclosure; (c) Is independently developed without use of the disclosing Party’s information; or (d) Is required by law or court order to be disclosed (with prompt written notice).

5. No License or Ownership

This Agreement does not grant any license, ownership, or rights to use any intellectual property belonging to either Party. All rights remain with their respective owners.

6. Term & Survival

This Agreement shall remain in effect for three (3) years from the Effective Date, and all confidentiality obligations shall survive termination for an additional two (2) years.

7. Remedies

Both Parties acknowledge that unauthorized disclosure may cause irreparable harm and agree that injunctive relief may be sought in addition to other remedies available under law.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.

9. Entire Agreement

This document constitutes the entire agreement between the Parties regarding confidentiality and supersedes any prior discussions or understandings.
